Introduction

Governing Law

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or us (collectively, the "Parties" and individually, a "Party") shall be commenced or prosecuted in the federal and provincial courts located in Toronto, Ontario, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

Dispute Resolution

Any legal controversy or legal claim arising out of or relating to these Terms of Use or the Site shall be settled by binding arbitration before the American Arbitration Association pursuant to the applicable rules and regulations of the American Arbitration Association then in effect.

Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Toronto, Ontario, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
